3. Client Responsibilities

Clients agree to:

  • Respond to requests for information and feedback within agreed-upon timeframes
  • Designate a primary point of contact for the engagement
  • Ensure that all information provided to Tris Mirus Fide is accurate and complete
  • Implement recommendations at their own discretion and risk

4. Fees and Payment Terms

Pricing Structure: Our services are offered using value-based pricing models tailored to each engagement. Specific fees will be outlined in the scope of work or engagement agreement.

Payment Terms:

  • Invoices are due within thirty (30) days of the invoice date unless otherwise specified
  • Late payments may be subject to a late fee of 1.5% per month or the maximum rate permitted by law, whichever is lower
  • For project-based engagements, payment milestones will be specified in the scope of work
  • Retainer-based engagements require payment in advance of services rendered

Expenses: Reasonable out-of-pocket expenses incurred in connection with the engagement will be billed separately with prior client approval.

5. Intellectual Property

Client Materials: All materials, data, and intellectual property provided by the client remain the property of the client.

Deliverables: Upon full payment, the client receives ownership of final deliverables specifically created for the client as part of the engagement. This includes reports, strategies, frameworks, and documentation developed exclusively for the client.

Tris Mirus Fide Methodologies: Our proprietary methodologies, frameworks, tools, templates, and processes remain the intellectual property of Tris Mirus Fide and are licensed to the client for use only in connection with the specific engagement.

Pre-existing Materials: Any pre-existing materials, knowledge, or intellectual property owned by Tris Mirus Fide prior to the engagement remains our property.

6. Confidentiality

Tris Mirus Fide agrees to maintain the confidentiality of all proprietary and confidential information received from clients during the course of an engagement. We will not disclose such information to third parties without the client’s prior written consent, except as required by law or professional obligations.

Clients agree to maintain the confidentiality of Tris Mirus Fide’s proprietary methodologies, tools, and processes.

Confidentiality obligations survive the termination of the engagement.

7. Limitation of Liability

To the fullest extent permitted by law:

  • Tris Mirus Fide’s total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim
  • Tris Mirus Fide shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost revenue, or lost business opportunities
  • Our consulting services constitute professional advice and recommendations; implementation decisions and results remain the sole responsibility of the client

8. Professional Standards and Disclaimer

Tris Mirus Fide provides consulting services based on our professional expertise, industry knowledge, and proven methodologies. However:

  • We do not guarantee specific business outcomes or results
  • Our recommendations are based on information provided by the client and market conditions at the time of the engagement
  • Clients are responsible for evaluating and implementing recommendations based on their own business judgment
  • Business results depend on numerous factors beyond our control, including market conditions, competition, and client execution

9. Termination

Either party may terminate an engagement with written notice as specified in the scope of work or engagement agreement. In the event of termination:

  • The client is responsible for payment of all fees for services rendered up to the termination date
  • Tris Mirus Fide will deliver all completed work products as of the termination date
  • Both parties remain bound by confidentiality obligations
  • Specific termination terms may be outlined in individual engagement agreements

10. Cancellation Policy

11. Website Use
